Opening Business in Delaware

Dear All,

I am currently living in Abu Dhabi and my company wants to open a new company in Delaware. Anyway teh company has already been registred 2 yaers ago but now it is my turn to fly down there and set up an office and gather all relevant information.

The thing is i am not a n owner or partner just an employee, how much will I be able to do in 10 days?

I wonder if someone could help me with advise or contact persons I can contact for the below questions & issues:

- What documents are required to sign a tenancy contract /lease agreement for the office?
- Taxation procedures (Who will give me in detail explaination how it works and what needs to be done)
- Opening a company bank account (can i do that on behalf of teh company?) what documents are needed?
- Transshipment alwas & procedures (our company will be basically do branding, meaning we import products label them with our anme and export them again, currently we will not sell to US market) waht are the procedures and processes?


It would be graet if someone could get me answers or contact persons in Delaware I can talk to during my visit there.

I want to inform you that the LLC in Delaware can have US tax exempt status if the members are aliens and the company does not conduct business in USA or employ US citizens. If US citizens are employed then the LLC cannot be tax exempt without approval of the authorities. If the members are aliens, there is no mandatory requirement of keeping records or holding meetings. Regarding the lease agreement, it must be in writing if the period of lease is for more than one year. Your company can give you an authority letter to open the bank account. Besides, you will need a copy of Board Resolution, a copy of the Articles and Memorandum of the LLC, etc. to be submitted to the bank. An account opening form can be obtained from the bank premises. Regarding transhipment of goods after labeling, it will amount to doing business on US soil as the goods will be unloaded, labeled and transshipped outside of USA.

So this is your turn to fly down there and set up an office there, you just need to have work permit to work there.You may want to include a copy of the Delaware return to demonstrate that you pay Delaware taxes on amount.requires certain personal identification documents to open a bank account. You need a valid photo ID such as a driver's license, state-issued or military ID. Non-citizens must provide their alien registration number.For business accounts, you have to go to the bank in person to open the account. You need personal identification (the same as above) plus additional documents--either your business license or incorporation certificate.
