There are 2 of us in the US (1 in MO, and 1 in IL) and then 2 in Australia. We are looking to open and online business with the 4 of us each holding an equal share of the company. Is this ok, and what are the laws for this? What do we need to do right away for this and what can be done withing a couple months?

Generally, there are no restrictions on foreign ownership of a company formed in the United States. The procedure for a foreign citizen to form a company in the United States is the same as for a US resident. It is not necessary to be a US citizen or to have a green card to own a corporation or limited liability company formed in the United States. For more information about incorporating your business check this site Click and Inc: Incorporate a Business Today. There are several online services available that can help with incorporating your business in one state or several. I recommend you www.clickandinc.com in this regard who are small business incorporation specialist.
