Default UK corp and office in the USA

Would like to get advice on start-up companies in the USA. We are from the UK and have a new but already profitable software firm. Where best to incorporate and the like?

See Starting a business: http://www.ss.ca.gov/business/resources.htm for general background information and http://www.sba.gov/library/pubs/mp-25.pdf

WLD lawyers can assist if needed as well.
