Default what rules must be followed to be a lg Corp.

What are the guide lines a small 5 man corp. must follow to be a legal corp.?

What reports must be filed and or meeting each year?

I have a case where the president of the corp. used corp funds to have work done on his and his wife property and rental property that is not listed under the corp.

I am looking to prove they pierced the corp vale for personal gain

Thank for any info.
