Question President

I started a nonprofit and am one of the 3 Board Members. As we are small and the vision was birth in me I had the responsibility of being Exec Director working round the clock to set the foundation. We recently were awarded funds from NYC Councilmembers and I was told by the managing city agency that I can not be paid a salaray as Exec. Director while I am President on the board. It was suggested that I resign as President/Chair and function solely as Exec. Dir. Is this correct? Our bylaws says that a board member can occupy an executive position and be paid for those services.

That may be their preference but you normally don't legally have to do that. It may come down to being a business matter for you. Ask them to explain in writing. Our lawyers could intervene if need be; ie if you cannot get it resolved.

Question President

If you think that would work it would be worth the intervention. The city management organization is Department of Youth & Community Development (DYCD)

There would be a basic fee, probably around 250 to 350 dollars for attorney time, but it likely could get resolved for you. You may email info@worldlawdirect.com if you eventually wish to proceed that way.

Kind regards. Susan Kinney
