Default hostile take over

we are a not for profit club
we have a 11 member board and 6 people resigned
they are soliciting general members to remove the 6 existing board members so they can return
and have total control of the board of directors.
is this legal can they do this?
our bylaws say the remaining board members can appoint the vacant seats.
we have filled 2 of the seats
as one of the remaining board members i fell it is our job to protect the general membership
and organization.
is there anything legal we can do to stop them?
thank worried board member

Default Re: hostile take over

You can review your election rules and make sure the members know what you are doing. If you hold a meeting sooner rather than later it may be easier to make changes before everybody becomes focused on this.

The Board rules might also be altered to strengthen your positions--have a corporate lawyer review it as well.
