Default Hong Kong law, US production governing law

Should I sign a contract (pretty basic terms) with Hong Kong law governing if all of our production and product will be in the USA? The Chinese partner is insisting. We are using their prototype only. Opposite of the usual situation.

Contract is valued at 142,000 USD?

It is certainly legal and somewhat common to do so. But it makes sense to have US law AND venues apply as well.

...but you may want to consider arbitration to resolve disputes--say e.g. in Singapore or with US or international arbitrators.

I would always suggest arbitration clauses over any chinese court including HK courts, if you are a US firm.

Much easier and more reliable!

No. You should ask the HongKong company to execute agreement as per American law as that would be safer for you in case differences arise otherwise you would be steaming off more money of yours flying from states to Hx and back!

I would agree. We had a difficult time in hearings in China and not sure they were worth it. Try for US law and courts.
