Default Signing an agreement to give a license to another company in India

Country: Turkey/ India
State: All States/Provinces

We are about to sign an agreement regarding giving a license to another company in India. Our company manufactures coal washing plants and we will be giving our drawings to India and they will produce and sell our equipment in there Country. We are afraid of giving our drawings for 5 years then being out of the agreement which we are sure will allow them to manufacture all our products by there own. Please be so kind to inform us on how we can protect our Company. Thank you.

I wish to inform you that you may keep non compete clause. Further, you may keep the provision that after termination of agreement your drawings or other property will not be used by other party. Reasonable restrictions can be placed in the agreement for protecting business interests. Alternatively, you may safeguard your business interests by applying for patent and copyright.

We could help you prepare agreements that would bind them to not produce or manufacture without you. And there could exist penalties for any party or employee etc. that violated the agreement. Also if you found they were producing, you would be able to shut them down.
