Idea property

I have a new and fresh idea for a new website. I decided it would be alot easier and/or safer for me to go in some form of partnership with an existing company instead of starting my own. The problem is I cannot copyright this website IDEA. I fear that if I approach any company and tell them this idea then they can just take the idea and leave me in the dust.
I was thinking of making an agreement which both parties sign and date. It would state that if they decide not to use my ideas with some form of royalties or partnership from me then they are:
a) not allowed to use the idea without me for their own business.
b) discuss this idea with any other company/individual that would profit from this.
c) make any form of profits from this idea.

Is this kind of agreement even legal/possible in Canada, Ontario? or under any intellectual property act?
If it is legal/possible, what else should I include?
If it isn't possible, is there any way of protecting myself from getting "robbed"?
And what is the best/safest way for me to do this?

Yes that clearly is possible and is often done.

...but many companies will refuse to sign such an agreement as it may limit them on projects they already are building or considering.
