Hello everyone, have some questions here....
Are there any internationally accepted terms and conditions, expressed and implied, governing between Seller and Buyer on the basis of Quotation and Purchase Orders on the following issues: 1. Delivery Time - Could a Supplier be held liable for damages if it did not meet its stated term of delivery of goods causing the Buyer to suffer some form of costs incurred as a result, even if there was no prior specific agreement between the parties on the issue? 2. Innocent Misrepresentation - Could a Supplier be held liable for damages if the goods it supplied did not perform (in part but significant) as claimed causing the Buyer to suffer some form of costs incurred in adapting to the dysfunction as a result, even if there was no prior specific agreement between the parties on the issue? The above refers to international trade between two business entities of Malaysia and Brunei Darussalam. Thank you for your help. |

Yes they could be liable but the issue will often be is the delay or delivery reasonable as most parties would expect?
So a 4 month delay is a failure e.g., but a 4 day delay if not terms have been spelled out is probably not a reason to seek damages. |
