My husband owned a corporation for years and paid his suppliers hundreds of thousands of dollars on time, every time. He went out of business last year and his company had a balance with a previous vendor of about $2900. My corporation has since ordered and wholesale merchandise from this vendor (paid, no credit terms), yet the vendor refuses to supply my company with goods even though I qualify under their terms of service (registered business, sales tax license, etc). They are wanting ME to pay for his company's debt before they will take any orders! Is this legal? I have taken thousands of dollars in orders for this merchandise and need to fulfill orders, and this cannot be purchased elsewhere. Any help would be appreciated!

He was advised by counsel early on that he could not give preference over one creditor or another and that if he personally paid any bills he could by liable for others, personally. There wasn't many but a few and one that was very big - a lawsuit the company lost (that which pushed company over edge).
It does make sense that they would not want to "get burned again". I have not hidden anything from this at all, all my communications have been open and honest and I have paid them with a credit card on time for several months now. When they made a realization on their end that we were married they said so and stopped all further orders, demanding, not asking for payment. Frankly, I won't pay that bill, that is for him to deal with, I run my own business and have no intention of getting mixed up in that - nor should I have to. (?) Seeking counsel. |

They normally cannot do that if they took the order in your name or your company's name. You may sue them in small claims--let them know.
