bond from private new york investors

hi
I have a business here in eastern europe, i am in the construction sector, I have some friends that have gone to the USA to raise money for projects here, they have received money for buying agriculture land & construction projects, it seems that they have raised some form of bond of $10 million from private new york investors, the investor have a intrest rate per year and also a share in the company that my friends have.
my question is who offeres such deals and how does this system work, i do know that my frineds have little or no money, but have a good business plan.

There is a lot of fraud in such supposed instruments.

I would suggest you be VERY skeptical and have reputable lawyers or accountants verify.
