Verbal vs. written contract

We were given a false sense of security by a u.s. company which led us to write a contract to purchase goods from this company. We were told that we had an exclusive distributorship for Canada for this company's clothing and that no-one else had sold any of the product into Canada, we later found out that this company had sold the exact material to another company in Canada, and it was being made into clothing and sold at a lower price than we could offer. We asked for a written confirmation that we had exclusive, they promised us this, but we never received it. We are now being sued for breach of contract because we could not sell the product and had to return it. Do we have any hope of winning in court?

That is fraud and you should prevail.
