Default Contract Working for a seprate business entity

Hi,

I work for an IT company called Prima IT (only named company in my contract) and they have been brought out by Pronet Computers (before i started).

I have applied for a job which is with a client who have a contract with Pronet Computers and they cancelled their contract with Pronet Computers 3 month ago, they are no longer a client of Pronet Computers after December this year.

My contract with Prima IT states that i can't work for any client of Prima IT (Pronet Computers is not mentions ANYWHERE in my contract)

My workplace have said that if i move to this client then they will take legal action against myself.

How do i stand as i'm part of a seperate entity inside the 2 companys?

Normally you are not bound to restrictions as to the clients of the new company unless your agreement specifically covers that, or one way or another you agreed--

--usually companies have employees agree again when they merge.

That's the weirdest thing! they merged a year before i came to work for them yet they took me on under the other company's name.

Apparently when Pronet took over Prima IT they did so under the cercumstances that Prima would be Prima and Pronet would be Pronet and they even have to have seperate databases for logging calls.

So far out of 3 forums i have had all but 1 person out of around 10-15 saying that im fine to go ahead and change company and there isn't much they could do even if i was on a contract with Pronet as the range of the clients is very large.
