My small company is currently working on a deal with a correspondent in Canada (I am located in the US). We are going to work on a product together, but it will be physically produced in the states; the Canadian counterpart will act as a consultant. We are getting to the stage of working out a contract (things like pay and rights to the product), and I was wondering if there are special considerations that must be taken when working out a contract between the US and Canada. I do have a lawyer working on this, but my company is still getting started and cannot afford a top quality lawyer, so I was wondering if anyone here had any general advice about this sort of business agreement.

There are dozens of issues frankly....
